Merger - Financial Advisor: Hyak360 Partners was called upon to be the
Financial Advisor to two building products distributors that wanted to do a
merger. Hyak360 Partners guided the business
owners through the entire process, advising them on relative business
valuations, stock ownership amounts for each owner in the new entity, selection
of merger form, an assumption of a $700k SBA loan, financing issues, extensive
financial analysis and modeling of the combined entities, coordination with
legal and tax professionals, and a smooth closing. Hyak360 Partners also assisted
in post-merger integration issues. Revenue of the merged entity is $27
million.
Growth Capital: Hyak360 Partners was called upon to assist a company
that had been put into Special Credits at its bank. The company had invested
heavily in a new joint venture and had tripped most of its covenants. Hyak360
Partners arranged a $2.75 million factoring line of credit for the company and
arranged a $2.0 million line for the new joint venture. Hyak360 Partners also
arranged a $400k SBA loan to assist in working capital needs. The company
quickly and quietly exited the bank, and the company and its new joint venture
received growth financing and working capital financing.
Moving on up – from Factoring to traditional Bank financing: A
company came to Hyak360 Partners seeking a new banking relationship and additional
working capital. The company had been using factoring for years for its working
capital, and was unsure if it was eligible for traditional bank financing, due
to its high leverage, losses, and thin equity. Hyak360 Partners helped them obtain
a working capital line of credit of over $1 million with a regional bank, and
also assisted them with a $500k SBA working capital loan.
Partner Buyout: A business owner came to Hyak360 Partners seeking
assistance in buying out his majority partner in his business. Hyak360 Partners
assisted the owner in the entire process, from arranging the $750k acquisition
term loan, moving the company to a new banking relationship with a $1.5 million
line of credit, assisting on business valuation and deal structure, negotiation
assistance, coordinating with legal and tax professionals, restating the
historical financial statements, and making sure the deal got done on time and
as negotiated.
Acquisition Advisor: Hyak360 Partners was hired by an individual to
assist him in the acquisition of a branded food products company. Hyak360 Partners
identified the target, led negotiations of the deal, performed a valuation of
the business, assisted in the due diligence efforts, structured the transaction,
coordinated with legal and tax professionals, and guided the deal through to a
successful closing. Hyak360 Partners also worked on post-acquisition issues.
Special Project – Site Analysis: Hyak360 Partners assisted a Puget
Sound division of a large national corporation conduct a site analysis. The
client needed an independent and objective analysis to determine if the company
should renew the facility lease, move the existing business, or close the
facility and move production to other parts of the company. Hyak360 Partners
developed the analysis model and conducted the research on region labor
statistics, site costs, operating expense impacts, move costs, and business
interruption costs.
CFO Services: The owner of a small manufacturing company
experienced an abrupt exit of a long time accountant who was the only person who
understood the accounting system. The company was experiencing abnormal
inventory transactions, thus making the financial statements meaningless. Hyak360
Partners evaluated the financial systems, determined the system issues, and made
the required corrections and adjustments to finalize the year end statements.
Hyak360 Partners assisted in the selection process and training of the replacement
staff position.
Cost Management - Product Line Profitability: Hyak360 Partners was
hired to assist a rapidly growing company of specialty building material
products for commercial construction applications. The company was experiencing
rapidly increasing volumes and had expanded in three years from a single product
line to four products lines with increasing options offered. Hyak360 Partners
developed product line profitability models for the company to understand which
product lines and options contributed the most to the bottom line. Hyak360 Partners
developed the shop floor measurement system to monitor real time performance and
throughput.
